All professional services engagements between Eng Majed Inc. and a Client are governed by a separate written agreement, statement of work, or service contract. In the event of any conflict or inconsistency between these Terms of Service and the provisions of a separately executed written agreement, the provisions of the separately executed written agreement shall prevail with respect to the specific engagement.

Eng Majed Inc. commits to performing all professional services with the degree of skill, care, and diligence normally exercised by qualified professionals performing similar services in the computer systems design and integration industry. Our services are performed on a best-efforts basis, and we make no guarantees, representations, or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability, or availability of any deliverables, advice, or recommendations provided as part of our services, except as expressly stated in a written agreement.

The Client acknowledges that technology projects inherently involve risk and uncertainty. Eng Majed Inc. shall not be liable for delays, cost overruns, or performance issues arising from circumstances beyond our reasonable control, including but not limited to changes in Client requirements, third-party vendor issues, force majeure events, or technical limitations inherent in the technologies being implemented.

You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts. Eng Majed Inc. is committed to resolving disputes with clients and users in a fair and efficient manner. Before initiating any formal legal proceedings, you agree to first contact Eng Majed Inc. and attempt to resolve the dispute informally by sending a written description of your claim to help@engmajed.lat. We will attempt to resolve the dispute informally within 30 days of receiving your notice. If the dispute cannot be resolved informally, the parties may pursue resolution through mediation, arbitration, or litigation as provided in these Terms of Service.

At the sole discretion of Eng Majed Inc., disputes may be submitted to binding arbitration in Toronto, Ontario, in accordance with the Arbitration Act of Ontario, rather than proceeding through litigation in court. Judgment on the arbitration award may be entered in any court having jurisdiction thereof.

13. Termination

These Terms of Service shall remain in full force and effect while you use the Website. Eng Majed Inc. may terminate or suspend your access to the Website and Services, with or without cause, and with or without notice, effective immediately, at any time and for any reason. Upon termination, your right to use the Website and Services will cease immediately. All provisions of these Terms of Service which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

If you wish to terminate your relationship with Eng Majed Inc., you may simply discontinue using the Website. For Clients with active service engagements, termination shall be governed by the provisions of the separate written agreement between the parties.

Eng Majed Inc. shall not be liable for any failure or delay in performance of its obligations under these Terms of Service or any service agreement resulting from causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, embargoes, acts of civil or military authorities, fire, floods, earthquakes, accidents, strikes or other labor disputes, shortages of transportation, facilities, fuel, energy, labor, or materials, internet service provider failures or delays, denial of service attacks, or other events of force majeure.

If any provision of these Terms of Service is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of these Terms of Service shall continue in full force and effect. The invalidity or unenforceability of any provision in a particular jurisdiction shall not affect the validity or enforceability of such provision in any other jurisdiction.

No waiver by Eng Majed Inc. of any term or condition set forth in these Terms of Service shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Eng Majed Inc. to assert a right or provision under these Terms of Service shall not constitute a waiver of such right or provision. No waiver shall be effective unless it is in writing and signed by an authorized representative of Eng Majed Inc.

17. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices published by Eng Majed Inc. on the Website, constitute the entire agreement between you and Eng Majed Inc. concerning your use of the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Website.

For Clients who have entered into a separate written agreement with Eng Majed Inc. for professional services, that written agreement, together with these Terms of Service and the Privacy Policy, constitutes the entire agreement between the parties with respect to the subject matter thereof. In the event of a conflict, the order of precedence shall be: the separate written service agreement, these Terms of Service, and the Privacy Policy.

All formal legal notices must be sent by email with a copy by registered mail to the physical address above. Notices sent by email alone shall be deemed received on the next business day following successful transmission, provided that no delivery failure notification is received. Notices sent by mail shall be deemed received five business days after the date of mailing.
